The design and build of each system is guided by Baldheady, the developer who founded the shop.

Accepting These Terms
When you visit these pages you agree to the parts of these terms that govern the pages, such as the rules on acceptable use and the disclaimer of outside warranties. When you buy cabinetry or subscribe to a shop system, the signed quote and these terms together make up your full agreement with the company.
If you do not agree with a term below, the simplest course is to stop using the page and to tell the company before any money moves. The company would rather lose an unclear deal than start a job under a misunderstanding.
What the Terms Cover
These terms cover three kinds of work. First, the custom cabinetry, built-in casework, and built work that BALDHEAD CABINET CO designs and makes for a client. Second, the design and delivery of software such as cabinet workspace planning, cut-list generation, hardware and inventory tracking, client selection portals, install crew scheduling, and finish room climate monitoring. Third, the ordinary use of this website as a source of honest information about the shop.
Any service the company names on the Services page belongs to one of these three buckets, and the closest part of these terms governs it.
Use of the Website
You may browse these pages for your own honest purposes, whether you are a future client, a curious builder, or a shop owner evaluating the tools. You may save pages for your own notes and may quote a short line from the content if you name the source. You may not copy large sections of the site to resell, to train a machine, or to pass off as your own marketing.
The company runs these pages to inform, not to collect a marketing profile of you. Automated crawling that overloads the server, scraping the text at volume, and bypassing any simple protection the shop has placed are all outside the terms of this page use.
Accounts and Logins
Some tools, such as a client selection portal or a shop system dashboard, ask you to open an account. If you do, you take care of the login you create and you keep your password to yourself. You are answerable for what happens under your login unless you prove that someone else acted in your name.
The company will not ask you for your password, ever, and it will not read a private cabinet selection without reason. If a login is shared carelessly, the company may suspend access to guard its own network and your own records from a stranger.

A firm quote from BALDHEAD CABINET CO names the price, the scope, the materials, the finish, and the date the company intends to deliver. A quote is open for the period named on it, which is normally thirty days. After that the price may move with the cost of lumber and hardware.
When you accept a quote, the company holds a slot on the shop calendar for your job. Installation and Delivery
The company installs its own cabinetry where the site allows the crew to work safely. You agree to give the installers clear access at the time on the schedule, a place to park a truck, and a working level in the room. A last-minute change of site hours can move your install to the next open day without fault to the crew.
Built cabinetry must adapt to the walls it meets. If your wall, floor, or ceiling is more out of true than the site notes admitted, the company will tell you at once and will quote the extra scribe work before it goes further, so there is no surprise on the final invoice.
Prices and Payments
Prices are shown in United States dollars and are billed from the signed quote. The company accepts the payment methods it names on the quote and issues a receipt for each payment. Sales tax is added where the law of your delivery address requires it.

Changes, Delays, and Cancellation

Warranty on the Work

For the period stated on your quote, the company will repair, at no charge to you, any defect in its own joinery, finish adhesion, hinge fitting, or install that proves to be a fault of the shop rather than of use or of the building.
The warranty does not cover normal wear, a scratch from daily life, a splash that sits too long, or movement that comes from a damp room the company was not told about. Good wood moves, and that honest movement is part of what you are buying.
Licensing of Shop Systems
When the company installs a shop tool such as a planning engine or a schedule board, you receive a license to use that tool for your own shop, not ownership of the code behind it. The company keeps the copyright in the software it writes and grants you a running right to use it for the term of your agreement.
You may use the tool across the number of seats your agreement names. You may not take the software apart to copy its logic, resell it, or put it in front of a shop that has not licensed it. Baldheady wrote much of it by hand and would ask the same respect a builder asks for a template cut from brass.
Support and Maintenance
Shop software needs a quiet steadying hand. The name support, the company keeps a help path open during business hours and will fix a genuine defect in a tool without charge for the warranty period on your agreement.
The company may update a tool to keep it working with the browsers and machines you already trust. If an update changes how you work, the company tells you before the change and gives you time to adjust. A deliberate break in a paid system by the company is not a scheduled maintenance, and the company answers for any outage it caused by its own carelessness.
Your Data and Project Files
Your drawings, measurements, and shop records remain yours. The company uses them only to do your project and keeps a backup so a lost file never costs you a week. When your work ends and the care period passes, the company deletes or returns your files as this site and its privacy note describe.
The company will not open your records to advertise to you or to sell them to another shop. If a courts asks for such a record, the company will tell you first whenever it may, so you have a fair chance to protect your own interest.
Intellectual Property
The text, graphics, color scheme, and craft of these pages belong to BALDHEAD CABINET CO and to Baldheady where the material credits the developer. The shop marks and the stencil of the company name are used as this site shows them and may not be borrowed to suggest an endorsement that does not exist.
Building an idea inspired by the approach of the shop is welcome; no one owns the concept of a clean cut list. Copying the pages wholesale is not. The line sits exactly where a fair eye draws it between a nod and a steal.
Acceptable Use
Use the pages, the portals, and the shop tools for their honest purpose. That means no attempt to break into a system, no placing false information that could stall a build, no misrepresenting your authority over a project, and no loading a file meant to harm a machine.
The company monitors its servers for abuse only enough to keep them safe. Reckless behavior that costs the shop time or a machine, such as an automated hammering attack or the upload of a damaging file, will end your access and may bring law enforcement into the conversation.
Disclaimers

This disclaimer does not touch the real warranty on cabinetry or a paid software defect, which live in their own sections above and fall under the rules of your signed deal. The ideas here describe the page use, not the strength of the wood in a built case.
Limit of Liability
To the fullest extent the law of Oregon allows, the total responsibility of BALDHEAD CABINET CO for a claim tied to a page, an idea on it, or a free tool does not exceed the amount you paid the company in the twelve months before the claim arose. The company does not answer for lost profit of a third shop or for a delay caused by a storm or a supplier the shop did not control.
This limit does not apply to a case where the law does not permit a cap, such as a claim arising from the willful wrongdoing of the company. For paid cabinetry and paid software, the signed quote may state a higher limit, and where it does, that higher limit stands.
Your Duty to Indemnify
You will protect BALDHEAD CABINET CO from a claim that follows directly from your misuse of the pages, from a breach of your part of these terms, or from your careless sharing of a login. In plain words, if your actions pull the shop into a costly and baseless dispute, you carry the reasonable cost of defending it.
This duty does not cover a claim that the shop caused by its own fault. The company asks only that each side answer for its own hand, which is the same fairness the shop expects on the bench.
Links to Third Parties

Ending a Relationship

When a deal ends, the company returns the project files you own, closes your access to the tool, and delivers a final accounting of what is owed in each direction. Old provisions that must survive, such as the limits of liability and the handling of ownership, keep their force after the main work stops.
Governing Law and Forum
These terms are read under the laws of the State of Oregon, without regard to its rules on conflicts of law, and under the federal law of the United States where it applies. If a dispute about a deal or a page cannot be settled by a friendly call, the parties agree that the courts of Deschutes County, Oregon, and the federal courts that sit for that district, are the proper place to hear it.
The company would surely prefer a bench-side conversation to a courtroom, and it will always take a sincere phone call before it files anything formal.
Entire Agreement and Waivers
Together, these terms and a signed quote hold the whole of the deal between you and the shop. Prior chatter, drafts, or a phone idea that never reached the page do not bind either side unless they are written into the quote.
If a court finds one line of these terms unenforceable, the rest still stands and the weak line is read as narrowly as the law allows. A decision by the company not to enforce a rule on one day is not a standing waiver of that rule on another.
